The German Security Act, distinguishes between a private placement (non-brokered) and a public offering (brokered). A prospectus is required when securities are offered publicly. The number of targeted investors is not the decision making element, but the circumstance if the securities have been offered to an indefinite or unlimited audience in Germany. We introduce our clients to our professional network and will assist whenever it is needed.
